Terms of Use for the SocietyPopUp platform

1. Introduction and Acceptance

SocietyPopUp is a marketplace platform connecting commercial space owners ("Hosts") who wish to rent their premises on a temporary basis, with professionals ("Guests") seeking spaces for commercial events such as pop-up stores, showrooms, or promotional events.

By accessing or using the Platform, you agree to be bound by these Terms. If you do not accept these terms, please do not use the Platform.

You represent that you have the legal capacity to enter into contracts. If you are an individual, you must be at least 18 years old. If you are acting on behalf of a legal entity, you warrant that you have the authority to bind such entity.

2. Definitions

"Platform" means the SocietyPopUp website and associated mobile application, enabling connections between Hosts and Guests.

"Host" means any individual or legal entity offering a Space for rent on the Platform.

"Guest" means any individual or legal entity booking a Space on the Platform for temporary commercial use.

"Space" means any commercial premises, shop, gallery, or venue offered for temporary rental on the Platform.

"Booking" means the rental agreement entered into directly between a Host and a Guest for the use of a Space.

3. Platform Role - Technical Intermediary

SocietyPopUp acts solely as a technical intermediary facilitating connections between Hosts and Guests.

The Platform is not a party to rental agreements entered into between Hosts and Guests. Such agreements are formed directly and exclusively between the relevant parties.

Hosts are solely responsible for ensuring their Spaces comply with applicable regulations, including public safety regulations, fire safety, accessibility, insurance, and tax requirements.

4. Payments – Role of the Platform

4.1 Role of the Platform

The Platform acts solely as a technical intermediary facilitating the connection between Hosts and Guests. The Platform is not a party to the rental agreement entered into between a Host and a Guest and does not act as a real estate agent, broker, escrow agent, or trustee. All rental agreements are concluded directly and exclusively between the Host and the Guest.

4.2 Payment Processing

Payments between Guests and Hosts are made directly outside the Platform. The Platform does not process, hold, or transfer any rental payments. The Platform does not provide escrow services or act as a payment intermediary. All payment arrangements and fund transfers occur exclusively between the Guest and the Host.

4.3 No Involvement in Fund Transfers

The Platform does not handle any fund transfers between Guests and Hosts. All payments are made directly between the parties outside the Platform. The Platform: does not hold, release, delay, or transfer any rental funds; does not make any decisions regarding payments; does not intervene in payment disputes between Hosts and Guests.

4.4 No Arbitration of Disputes

The Platform does not arbitrate, mediate, or resolve disputes related to: the rental agreement, the condition, legality, or conformity of the premises, the execution, cancellation, or termination of the rental. Any dispute arising between a Host and a Guest must be resolved directly between the parties, without involvement of the Platform.

4.5 Limitation of Responsibility

The Platform shall not be held liable for: non-performance or improper performance of the rental agreement; false, inaccurate, or misleading statements made by a Host or a Guest; any loss, damage, or dispute arising from the rental relationship. The Host and the Guest acknowledge and agree that the Platform's role is strictly limited to providing a technical marketplace and payment infrastructure.

4.6 Acknowledgement

By using the Platform, Hosts and Guests expressly acknowledge that: the Platform is not responsible for contractual compliance; payments are handled through an automated third-party payment system; the Platform does not guarantee the execution or legality of any rental.

5. Account Registration and Usage

To use certain features of the Platform, you must create an account by providing accurate and up-to-date information.

You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.

Professional Hosts must provide their business registration number and company information.

The Platform reserves the right to suspend or terminate any account in case of violation of these Terms, suspected fraud, or illegal activity.

6. Booking Rules and Cancellation Policies

Bookings are made through the Platform following a multi-step process: booking request, Host acceptance, payment, confirmation.

Each Host sets their cancellation policy from three options: Flexible, Moderate, or Strict. The applicable refund conditions are those chosen by the Host and displayed on the Listing.

If a Host cancels after accepting a booking: a financial penalty may apply; the Host's calendar may be blocked for the affected dates; repeated cancellations may result in account suspension.

In cases of force majeure (natural disasters, pandemics, government restrictions), a full refund without penalty may be granted. The Platform reserves the right to assess force majeure claims.

7. Content Policies - Listings, Reviews, Photos

Hosts commit to providing accurate and complete information in their Listings, including Space description, photos, available amenities, and pricing.

Only commercial spaces may be listed on the Platform. Residential properties are excluded.

Reviews must be based on actual rental experience and written honestly and constructively.

If you believe your intellectual property rights have been infringed, you may contact us to request removal of the infringing content.

8. Prohibited Uses and Conduct

Any illegal, fraudulent, or immoral activity is strictly prohibited.

Creating fake listings, fake reviews, or impersonating others is prohibited.

Payments outside the Platform to circumvent service fees are prohibited and may result in account suspension.

Any discrimination based on origin, gender, sexual orientation, religion, disability, or any other protected characteristic is prohibited.

9. Liability Limitations - Property Issues

As the Platform is not a party to rental agreements, it cannot be held liable for issues related to Spaces.

The Platform is not liable for the condition of Spaces, their cleanliness, conformity to descriptions, or hidden defects.

The Platform is not liable for access issues (keys, badges, codes), delays, or inability to access premises.

The Platform is not liable for Space compliance with regulations (public safety, fire safety, accessibility, zoning).

10. Liability Limitations - Personal Injury and Property Damage

The Platform is not liable for personal injuries, property damage (theft, vandalism, fire, water damage), or business losses occurring during the rental period.

The Platform is not liable for personal injuries occurring in rented Spaces.

The Platform is not liable for property damage (theft, vandalism, fire, water damage) occurring during the rental period.

In any event, the Platform's total liability is limited to the amount of service fees received for the relevant booking.

Hosts must obtain and maintain professional liability insurance and property insurance covering their Space. Guests are encouraged to obtain event insurance covering their activities in the rented Space.

11. Intellectual Property

The Platform, its name, logo, interface, features, and source code are the exclusive property of SocietyPopUp and are protected by intellectual property rights.

By posting Content on the Platform, you grant SocietyPopUp a non-exclusive, worldwide, royalty-free, transferable license to use, reproduce, modify, and display such Content for service delivery purposes.

You retain ownership of your Content and are responsible for its legality and compliance with third-party rights.

12. Dispute Resolution and Governing Law

Disputes between Hosts and Guests must be resolved directly between the parties. The Platform does not intervene in such disputes and does not provide mediation or arbitration.

These Terms are governed by French law.

Any dispute relating to the interpretation or performance of these Terms shall be subject to the exclusive jurisdiction of the courts of Paris.

In accordance with consumer law, you may use free consumer mediation services before taking legal action. Mediator contact details will be provided upon request.

13. Personal Data Protection

The Platform processes your personal data in accordance with the General Data Protection Regulation (GDPR) and applicable data protection laws.

You have rights of access, rectification, deletion, objection, and portability of your data. To exercise these rights, contact us at contact@societypopup.com.

14. Insurance

The Platform does not provide any insurance to Hosts or Guests.

Hosts must obtain and maintain: professional liability insurance; insurance covering public safety risks where applicable; property insurance covering damage to the premises.

Guests are strongly encouraged to obtain: liability insurance for their activities; event cancellation insurance; insurance covering equipment and inventory present in the Space.

15. Modifications to Terms

The Platform reserves the right to modify these Terms at any time.

Continued use of the Platform after modifications take effect constitutes acceptance of the new Terms.

For major modifications, the Platform may require express re-acceptance of the Terms.

16. Termination and Suspension

The Platform may suspend or terminate your account at any time in case of Terms violation, suspected fraud, or illegal activity.

You may delete your account at any time from your profile settings or by contacting us.

Obligations arising from ongoing bookings, as well as provisions relating to liability, intellectual property, and dispute resolution, survive account termination.

17. Miscellaneous

If any provision of these Terms is declared invalid or unenforceable, the other provisions shall remain in effect.

Failure to exercise any right under these Terms does not constitute a waiver of that right.

The Platform may assign these Terms to a third party. You may not assign your rights or obligations without prior consent.

These Terms, together with the Privacy Policy and other referenced policies, constitute the entire agreement between you and the Platform.
